Welcome to Grey Matter Entertainment (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website located at https://greymatterentertainment.tv (the “Site”), as well as any purchases made through our Site or at in-person events.
By accessing our Site, placing an order, or purchasing our products, you agree to be bound by these Terms and all policies referenced herein. If you do not agree, you may not use our services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to make a purchase. By placing an order, you represent that you are legally capable of entering into a binding agreement.
2. Products & Made-to-Order Policy
All products sold by Grey Matter Entertainment are made-to-order. Production begins only after an order has been confirmed and payment has been successfully processed.
Because products are custom-made:
- Orders cannot be canceled once placed.
- All sales are final, subject only to the limited exchange and replacement terms described below.
No Resale / Commercial Use
Products are intended for personal use only. Resale, redistribution, or commercial exploitation of our products without prior written permission is prohibited.
We reserve the right to cancel orders suspected of unauthorized resale activity.
3. Pricing, Payments & Taxes
All prices are listed in U.S. dollars unless otherwise stated. Prices may change at any time without notice.
Payment must be completed at checkout. Orders will not be processed until payment is successfully received.
Sales Tax
Applicable sales tax will be added to orders where required by law.
Chargebacks & Payment Disputes
By placing an order, you agree not to initiate a chargeback or payment dispute without first contacting us to attempt resolution.
Initiating a fraudulent or bad-faith chargeback may constitute a breach of these Terms and may result in refusal of future service, collection efforts, and/or legal action where permitted by law.
4. Shipping & Order Processing
Because all products are made-to-order, orders require production time prior to shipment.
We strive to complete and ship orders as quickly as possible. However, due to production volume, supply chain conditions, material availability, and operational factors, order processing and shipment may take up to 30 days from the date of purchase.
By placing an order, you acknowledge and agree to this production and processing timeframe.
Shipping time estimates apply only to carrier transit time and begin once an order has been transferred to the carrier.
Shipping timelines are estimates only and are not guaranteed.
We are not responsible for delays caused by shipping carriers, customs processing, weather conditions, labor disruptions, supply chain interruptions, or other circumstances beyond our control.
Transfer of Title & Risk of Loss
Title to products and risk of loss transfer to the customer upon delivery of the order to the shipping carrier.
5. Standard Letter Mail (Envelope) Shipping Option
Certain eligible products may be shipped via USPS First-Class Mail or similar letter mail service (“Standard Letter Mail”).
By selecting Standard Letter Mail at checkout, you acknowledge and agree:
- This is a non-priority, non-expedited shipping method
- Delivery times may be significantly longer than parcel services
- Tracking may be limited or unavailable
- Insurance is typically not included
- Envelope shipment carries increased risk of bending, creasing, or transit-related damage
By voluntarily choosing this shipping method, you accept the increased risk of delay, loss, or damage associated with standard letter mail service.
If an item arrives visibly damaged, you must notify us within 5 business days of delivery and provide clear photographs of both the product and packaging. Approved claims will be handled in accordance with Section 6.
Nothing in this section limits any non-waivable consumer rights under applicable law, including Massachusetts law.
6. Returns, Exchanges & Claims
Because all products are made-to-order, we do not offer refunds or returns under any circumstances.
Size Exchanges (Apparel Only)
- Requests must be submitted within 5 business days of delivery
- Only one exchange per order is permitted
- Items must be unworn, unwashed, and in original condition
- Customers are responsible for all return shipping costs
- Original shipping fees are non-refundable
Once the returned item is received and approved, a replacement order will be produced and shipped.
Damaged or Defective Items
If an item arrives damaged or defective:
- You must contact us within 5 business days of delivery
- You must provide your order number and clear photos of the issue
Approved claims will receive a replacement only. Refunds will not be issued.
Lost or Missing Packages
If tracking shows delivered but not received, you must contact the carrier directly.
If tracking shows no delivery update, you must notify us within 30 days of shipment to request assistance with a carrier claim.
Claims submitted after this period may not be eligible for review.
7. Intellectual Property
All content on our Site—including text, graphics, logos, images, videos, product designs, artwork, slogans, and branding—is owned by Grey Matter Entertainment or its licensors and is protected by intellectual property laws.
Purchase of a product does not transfer ownership of any intellectual property.
You may not reproduce, distribute, modify, resell, scan, replicate, digitize, or exploit our content or products without prior written permission.
Creator & Licensed Content
Certain products may incorporate content associated with creators, collaborators, or talent. All intellectual property rights remain the property of their respective owners.
Purchase of merchandise does not grant any license to reproduce or commercially exploit any likeness, artwork, branding, or creative content embodied in the product.
8. User Conduct
You agree not to:
- Use our services for unlawful purposes
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Attempt to interfere with Site functionality or security
- Misrepresent affiliation with our brand
You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.
We reserve the right to refuse service or terminate access for violations of these Terms.
9. Right to Refuse or Cancel Orders
We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to suspected fraud, pricing errors, unauthorized resale activity, or violations of these Terms.
10. Disclaimer of Warranties
Our services and products are provided “as is” and “as available.”
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Grey Matter Entertainment shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our services or products.
Our total liability for any claim shall not exceed the amount paid for the product giving rise to the claim.
Some jurisdictions do not allow certain limitations, so these limitations apply only to the extent permitted by law.
12. Indemnification
You agree to indemnify and hold harmless Grey Matter Entertainment, its members, affiliates, partners, and collaborators from any claims, damages, or expenses arising from your breach of these Terms or misuse of our services.
13. Force Majeure
Grey Matter Entertainment shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, labor disputes, supply chain disruptions, governmental actions, pandemics, or carrier delays.
14. Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Any legal action shall be brought exclusively in the state or federal courts located within the Commonwealth of Massachusetts, and the parties consent to personal jurisdiction in such courts.
15. Dispute Resolution & Arbitration
At our sole discretion, we may require that any dispute arising out of or relating to these Terms be resolved through binding arbitration on an individual basis, except that either party may bring qualifying claims in small claims court.
Arbitration shall not be conducted as part of a class, collective, or representative action.
Nothing in this section limits either party’s right to seek injunctive or equitable relief.
16. Privacy Policy
Your use of our Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
17. Changes to These Terms
We reserve the right to update these Terms at any time. Changes become effective upon posting to our Site. Continued use of our services constitutes acceptance of the updated Terms.
